Terms and Conditions

These terms and conditions (the "Terms and Conditions") govern your use of the Sortie mobile application (the "App") and the accompanying website at www.sortie.nz (the "Website"), collectively referred to as the "Services". The App and Website are owned and operated by Sortie Limited. Sortie is a grocery price comparison, list building, and retail media app.
By using this App, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using the App, you consent to the collection, use, and storage of your personal information as described in the Privacy Policy. The Privacy Policy is available at www.sortie.nz/privacy and within the App.

Intellectual Property

All content published and made available in our App is the property of Sortie Limited and the App's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our App.
You retain ownership of any content you upload to our App, including but not limited to photographs of receipts and any other personal data you provide ("User Content"). By uploading User Content, you grant Sortie Limited a non-exclusive, worldwide, royalty-free licence to use, process, store, and analyse that content solely for the purpose of providing and improving the services available in this App. This licence is limited to what is necessary to operate the App and does not permit Sortie Limited to sell, share, or otherwise exploit your User Content for any unrelated commercial purpose. You may withdraw this licence at any time by deleting your User Content or closing your account, subject to any legal or operational retention obligations.

Accounts

When you create an account in our App, you agree to the following:
  • You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and
  • All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.
We reserve the right to suspend or terminate your account if you are using our App illegally or if you violate these Terms and Conditions.

Acceptable Use

You agree to use the App only for lawful purposes and in a manner consistent with these Terms and Conditions. You must not use the App in any way that:
  • Violates any applicable local, national, or international law or regulation;
  • Involves uploading or transmitting content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
  • Attempts to reverse engineer, decompile, disassemble, or otherwise derive the source code of the App;
  • Introduces malicious code, viruses, or any other software or material that is harmful to the App or its users;
  • Attempts to gain unauthorised access to any part of the App, its servers, or any systems connected to it; or
  • Misuses the AI classification or receipt scanning features for any purpose other than personal grocery list management.
Sortie Limited reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use policy, including suspending or terminating their account.

Advertising and Sponsored Content

The App includes a retail media platform through which FMCG brands and other commercial partners may display sponsored content, product recommendations, and advertisements. By using the App, you acknowledge and agree that:
  • Sponsored content and advertisements may appear within the App, including within category and subcategory browsing views;
  • Advertising is served based on contextual signals derived from your in-app activity, such as the grocery category you are currently browsing. We do not use cross-site tracking or third-party behavioural profiling for this purpose;
  • Some product recommendations, including smart swap suggestions, may be commercially sponsored. Sponsored recommendations will be identified as such within the App; and
  • Sortie Limited is not responsible for the accuracy, quality, or availability of any advertised products, and any transaction you enter into with an advertised brand is solely between you and that brand.

Links to Other Websites

Our App contains links to third party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party website or service linked to in our App. It is your responsibility to read the terms and conditions and privacy policies of these third party websites before using these sites.

Use of Artificial Intelligence for Item Classification

Our App uses external artificial intelligence services to classify and categorise items added to your grocery list. This functionality is integral to how the App operates, enabling items to be sorted, grouped, and ordered in a meaningful way to improve your shopping experience.
When you add items to your list, those items may be transmitted to a third party AI service provider for the purpose of classification. We take reasonable steps to ensure that any data shared with these providers is limited to what is necessary for classification purposes and is handled in accordance with applicable privacy laws.
By using this App, you acknowledge and consent to the use of external AI services for item classification as described in these Terms and Conditions. Sortie Limited does not guarantee the accuracy of AI-generated classifications and accepts no liability for errors or omissions arising from the automated classification process.

Receipt Scanning and Optical Character Recognition (OCR)

Our App includes a receipt scanning feature that uses optical character recognition (OCR) technology, powered by external AI services, to read and extract item and pricing information from photographs of receipts that you upload.
When you upload a receipt image, that image may be transmitted to a third party AI or OCR service provider for processing. We take reasonable steps to ensure that receipt images are handled securely and are used solely for the purpose of extracting grocery item data for your list. Receipt images are not retained by Sortie Limited beyond what is operationally necessary to deliver this feature.
By using the receipt scanning feature, you consent to the transmission and processing of your receipt images as described above. You should ensure that any receipt you upload does not contain sensitive personal or financial information beyond what is necessary for grocery list purposes. Sortie Limited accepts no liability for errors, inaccuracies, or omissions in data extracted through the OCR process.

Limitation of Liability

Sortie Limited and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the App.
Nothing in these Terms and Conditions is intended to limit any rights you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (NZ), or any other statutory rights that cannot be excluded or limited by law.

Indemnity

Except where prohibited by law, by using this App you indemnify and hold harmless Sortie Limited and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our App or your violation of these Terms and Conditions.

Applicable Law

These Terms and Conditions are governed by the laws of New Zealand.

Severability

If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes

These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our App and the way we expect users to behave in our App. We will notify users by email of changes to these Terms and Conditions or post a notice in our App.

Entire Agreement

These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between you and Sortie Limited with respect to your use of the App and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, relating to that subject matter. No representation, warranty, or other statement made by any party that is not contained in these Terms and Conditions will be binding on either party.
